These Vendor Terms of Use (“Agreement”) govern the participation of vendors (“Vendor”, “you”) on the FLORDER platform operated by FLORDER Ltd., a company incorporated in the Republic of Cyprus (“FLORDER”, “we”, “us”, or “our”).

By registering as a Vendor and listing your products or services on FLORDER, you agree to be bound by this Agreement, in addition to our Terms of Service, Privacy Policy, and Acceptable Use Policy.

1. Vendor Eligibility

To register and operate as a Vendor on FLORDER, you must:

  • Be a legally registered business in your jurisdiction.
  • Be authorized to sell and deliver floral products and related goods.
  • Provide accurate and up-to-date information during registration.
  • Comply with all applicable laws, including consumer protection, taxation, and e-commerce laws.

FLORDER reserves the right to reject or suspend any Vendor application at its sole discretion.

2. Vendor Obligations

By listing on FLORDER, you agree to:

  • Accurate Listings: Ensure all product descriptions, pricing, photos, availability, and delivery terms are accurate, truthful, and updated.
  • Order Fulfillment: Accept and fulfill all confirmed orders in a timely and professional manner.
  • Customer Communication: Communicate clearly with customers regarding orders, delays, or issues.
  • Support: Respond to customer inquiries or complaints in a reasonable timeframe.
  • Compliance: Adhere to all local and international laws, including those related to packaging, delivery, health & safety, and returns.

3. Platform Use & Content

You are responsible for any content (text, images, pricing) that you upload to the Platform. You must ensure that:

  • You own or have the right to use all content.
  • The content does not infringe on intellectual property rights or contain misleading claims.
  • All photos accurately represent the actual products.
  • Your branding and language are respectful, non-discriminatory, and professional.

4. Commission and Fees

FLORDER may charge a service fee or commission on each transaction made through the Platform. The specific percentage or fee structure will be communicated and agreed upon in advance.

  • Fees may vary based on country, order volume, or promotional programs.
  • All fees are deducted automatically before payout.
  • Vendors are responsible for all local taxes and VAT obligations.

We reserve the right to update our pricing and commission structure with advance notice.

5. Payments and Payouts

FLORDER facilitates payments between Customers and Vendors using third-party payment providers. As a Vendor:

  • You will receive payouts to your designated bank account or payment provider.
  • Payouts are typically made on a [weekly/bi-weekly/monthly] basis, minus applicable fees.
  • You are responsible for providing accurate and up-to-date payment information.
  • Delays due to incorrect banking information or external financial services are not the responsibility of FLORDER.

6. Reviews and Ratings

Customers may review their experience with your store and products. Vendors:

  • May not manipulate, alter, or artificially boost reviews.
  • Must not retaliate or harass customers based on reviews.
  • Can contact FLORDER support to report false or defamatory reviews, subject to review.

7. Termination and Suspension

We may suspend or terminate your Vendor account if you:

  • Violate this Agreement or any applicable policies
  • Consistently fail to fulfill orders or provide poor customer service
  • Submit fraudulent or misleading information
  • Harm the reputation or operations of FLORDER

You may terminate your Vendor account at any time with written notice.

8. Intellectual Property

You retain ownership of your content. By uploading content to the Platform, you grant FLORDER a non-exclusive, royalty-free, worldwide license to use, reproduce, and display such content for purposes of operating and promoting the Platform.

FLORDER’s trademarks, branding, and software are the exclusive property of FLORDER Ltd. and may not be used without permission.

9. Limitation of Liability

To the extent permitted by law, FLORDER is not liable for:

  • Loss of revenue or business arising from Platform outages or order cancellations
  • Miscommunications between Vendors and Customers
  • Actions of third-party services (e.g., payment processors or delivery partners)

Our liability is limited to the total fees paid by you to FLORDER in the preceding 12 months.

10. Governing Law and Jurisdiction

This Agreement shall be governed by and construed in accordance with the laws of the Republic of Cyprus. Disputes shall be subject to the exclusive jurisdiction of the courts of Nicosia, Cyprus.

11. Changes to This Agreement

We may update this Agreement at any time. Vendors will be notified of material changes via email or platform notifications. Continued use of the Platform constitutes acceptance of the revised terms.
